TERMS, CONDITIONS AND PRIVACY POLICY
I/We appoint PRONTO TITLES LLC ("Agency") as the settlement agent for this transaction and authorize the Agency to conduct title and name searches, issue title commitments, and issue Owner’s and/or Lender’s Title Insurance Policies as applicable.
IMPORTANT INFORMATION
- If HOA or condominium approval is required, BUYER is responsible for obtaining approval and providing the original approval to Agency before closing.
- For financed transactions, lender information and title instructions must be provided before title work can begin.
- Lender documents must be received at least 24 hours before closing. Otherwise, closing may be postponed.
- All buyer funds and lender funds must be received and cleared in Agency's escrow account prior to closing.
- For same-day funding, closing must be completed before 2:00 PM EST. Closings completed after that time will be funded the next business day.
- No funds will be disbursed until all required original documents, cleared funds, and lender authorization (if applicable) have been received.
- Closings may be conducted through Mobile Notary, Remote Online Notarization (RON), Mail-Away, or other methods approved by Agency.
THIRD-PARTY FEES & CANCELLATION
Agency incurs expenses in preparation for closing, including but not limited to title searches, lien searches, municipal searches, surveys, estoppel letters, title commitments, and other third-party services.
If the transaction is cancelled or fails to close for any reason, BUYER and/or SELLER agree that Agency may deduct from escrow any actual third-party costs incurred, plus a $995 cancellation fee, before releasing any remaining funds pursuant to the contract or written instructions.
ESCROW DISPUTES
In the event of a dispute regarding escrow funds, Agency may hold the funds until receipt of joint written instructions from all parties or a court order. If the dispute remains unresolved for more than 10 days after Agency's written request for instructions, Agency may file an interpleader action and deposit the funds with the court. All reasonable attorney's fees, court costs, and related expenses may be deducted from the escrow funds. Agency shall not be liable for actions taken in good faith.
LIMITATION OF LIABILITY
Agency shall not be liable for delays, losses, or damages caused by lenders, governmental agencies, municipalities, associations, third-party vendors, couriers, or other circumstances beyond Agency's reasonable control, provided Agency acts in good faith.
AUTHORIZATION FOR PAYMENT OF THIRD-PARTY SERVICES
BUYER, SELLER, and/or BORROWER acknowledge that Agency may order third-party services necessary to process the transaction. I/We authorize Agency to pay any amounts due for such services from funds held in escrow and to apply escrowed funds toward any unpaid third-party charges and applicable cancellation fees.
Nothing herein shall alter the rights and obligations of the parties under the applicable purchase contract, refinance transaction, or lender requirements.

Pronto Titles is committed to protecting the privacy and security of your personal information. Information collected through our forms will be used solely for purposes related to your real estate transaction, including title insurance, settlement services, identity verification, regulatory compliance, fraud prevention, and communication regarding your transaction.
Your information may be shared with parties directly involved in the transaction, including lenders, real estate agents, attorneys, title underwriters, government agencies, and service providers, only as necessary to complete the transaction or comply with applicable laws and regulations.
Pronto Titles maintains reasonable administrative, technical, and physical safeguards designed to protect personal information from unauthorized access, use, disclosure, alteration, or destruction. However, no electronic transmission or storage system can be guaranteed to be completely secure.
